OpenAI completed its for-profit restructuring

OpenAI has completed its long-planned restructuring, turning its for-profit arm into a public benefit corporation called OpenAI Group PBC, while the nonprofit parent becomes the OpenAI Foundation. The foundation now holds equity worth about $130 billion, with an initial $25 billion focus on healthcare and AI safety.

A new deal with Microsoft adjusts ownership — Microsoft’s stake drops from 32.5% to 27%, valued at $135 billion — and clarifies the long-debated “AGI clause.” Any future declaration of AGI will now be verified by an independent panel, and Microsoft will retain IP rights through 2032, even for post-AGI models, though those rights exclude OpenAI’s consumer hardware (like its upcoming Jony Ive-designed device).

OpenAI can now partner with other companies, release some open-weight models, and is obligated to spend $250 billion on Azure. Microsoft, meanwhile, is free to pursue AGI independently.

The move follows a year of legal and regulatory scrutiny — and ensures OpenAI keeps its SoftBank funding while setting the stage for its next phase of AI and hardware development.
